entered into a Farm-In Agreement with Ausgold Limited (ASX: AUC) with respect to its Kulin Gold Project.

The Agreement forms part of Critica’s strategy to focus its capital on the Company’s flagship Jupiter REE Project, whilst reducing cash expenditure on non-core assets. The Agreement allows Critica shareholders to retain exposure to potential upside in the Kulin Project up to a 30% joint venture interest.

The Kulin Project, comprising of exploration licence E70/5077, is located approximately 75km northeast of Ausgold’s 100%-owned Katanning Gold Project.

Key Agreement Terms
Under the Agreement, Ausgold has the right to earn up to a 70% interest in the Kulin Project over three years by expending:
• Stage 1: $250,000 within 18 months to earn 51%; and
• Stage 2: A further $360,000 over the following 24 months to earn an additional 19%.

Upon completion of the earn-in, Critica will retain a 30% contributing interest in the Kulin Project, with the right to convert to a 1.5% net smelter royalty at a decision to mine.

JUPITER CONFIRMED AS AUSTRALIA’S LARGEST MAGNET RARE EARTH CLAY HOSTED RESOURCE

Critica Limited s pleased to announce that the latest phase of work at Jupiter marks what the Company considers a step-change in understanding the project’s value potential. The review has defined zones enriched in the key Magnet Rare Earth Oxides (MREOs) - the elements that, according to industry commentary, can contribute the vast majority, of rare earth project value at prevailing market prices¹.
Building on the July 2025 HREO review, Critica has identified multiple higher-grade MREO zones containing neodymium, praseodymium, dysprosium and terbium, the four rare earths essential for high-performance permanent magnets.

MREO-Rich Zones Confirmed
Reporting the February 2025 resource using MREO cut-offs confirms Jupiter as Australia’s largest and highest-grade clay-hosted MREO resource². At a 400 ppm MREO cut-off, Jupiter contains 640 Mt at 490 ppm MREO and 2,100 ppm TREO within the broader 1.8 Bt global resource. This highlights Jupiter’s scale and its concentration of high-value magnet REEs that support long-term demand from sectors including EVs, wind turbines, medical and defence.

• Market reference – US$110/kg NdPr floor price set by the U.S. Department of Defense for MP Materials Corp (Reuters, July 2025).
